[MassHistPres] Replacement in Historic Districts

Our (Lenox) Historic District has been asked to consider a demolition/replacement scenario for a 19th century shingle style home in our Historic District.  Currently used for rental apartments, the former single family three story home is in a somewhat derelict condition.  It was built by an important family in town and is one of the few shingle style houses in Lenox.  The property requires an exterior (shingles/ windows) replacement, stabilization, and interior renovation to the studs.  In addition, for commercial or retail use (the property is in the business district) the first floor ceilings would have to be raised in such a way as to fall in the middle of the second story windows.  A potential acquirer of the property has proposed demolishing the current building and replacing it with an identical design - modern materials, HVAC, and structural elements.  

I would like to hear how others have dealt with similar proposals.
